  - Team as a Service (TaaS)

  - Digital transformation and advisory services

Specific deliverables, timelines, pricing, and responsibilities are defined in separate service agreements, proposals, or contracts.

Eligibility and Authority

By using our services, you represent that:

- - You are at least 18 years old
  - You have the legal authority to enter into binding agreements
  - If acting on behalf of a company, you are authorized to bind that entity

Client Responsibilities

Clients agree to:

- - Provide accurate, complete, and timely information
  - Cooperate reasonably during service delivery
  - Assign a primary point of contact
  - Make decisions and approvals without undue delay

Failure to meet these obligations may impact delivery timelines and outcomes.

Fees, Payments, and Invoicing

- - Fees, milestones, and payment schedules are defined in written agreements or proposals
  - All invoices are payable within the stated period without set-off or deduction
  - Late payments may incur suspension of services and/or late fees as permitted by law
  - All fees are non-refundable unless explicitly stated otherwise in writing
  - The Client is responsible for all applicable taxes, duties, or governmental charges

Intellectual Property Rights

Unless otherwise agreed in writing:

- - All pre-existing intellectual property, methodologies, source frameworks, documentation templates, internal tools, and know-how remain the exclusive property of ProCrew
  - Custom deliverables created specifically for the Client may be licensed or assigned subject to full payment
  - Source code ownership, if applicable, must be explicitly stated in the service agreement
  - ProCrew retains the right to reuse non-confidential concepts, experience, and skills gained during the engagement

Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the engagement. Confidentiality obligations survive termination of services.

Data Protection and Privacy

Use of our services is subject to our Privacy Policy. We process personal data in accordance with applicable data protection laws.

Warranties and Disclaimers

Services are provided on an “as-is” and “as-available” basis. We do not guarantee specific business outcomes, financial results, or market success.

Limitation of Liability

To the maximum extent permitted by law:

- - ProCrew shall not be liable for loss of profits, business interruption, reputational harm, or indirect damages
  - No liability shall arise from delays caused by Client actions or force majeure events
  - Total cumulative liability shall not exceed the total fees paid for the specific service giving rise to the claim

Termination

Either party may terminate services in accordance with contractual terms or upon material breach. Upon termination:

- - All outstanding invoices become immediately due
  - Access to deliverables may be suspended until payment is completed
  - Confidentiality, IP, limitation of liability, and governing law clauses survive termination

Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction where ProCrew is legally registered, without regard to conflict of law principles.

Amendments

We reserve the right to modify these Terms at any time. Updated versions will be published on our website.
